End User License Agreement
1 Preamble
This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or a single entity) and TechRuzz ("Licensor", "we", "us") for the Code Signing Toolkit software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively, the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
2 Grant of License
The Licensor grants you a non-exclusive, non-transferable, limited license to install and use the Software on compatible Windows 10/11 systems, subject to the terms and conditions of this Agreement.
2.1 Free Edition
- Unlimited installations for personal, educational, and internal development use
- Access to core features: certificate generation, single-file signing, hash generation, signature verification
- No commercial distribution rights for signed binaries
- No access to Pro features (Azure Trusted Signing, Batch Signing, Watcher, Pre-Flight Checker, etc.)
2.2 Pro Edition
- Single-machine license bound to hardware fingerprint
- Full access to all Pro features as documented
- Commercial use rights for signed binaries
- Lifetime updates within the v3.x major version series
- Priority email support
2.3 Team Edition
- License valid for up to 4 machines
- Includes CI Runner licenses for build servers (hardware binding bypass)
- All Pro features plus team activation support
- Commercial use rights for signed binaries
2.4 Reservation of Rights
The Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. The Software is licensed, not sold. This Agreement does not grant you any rights to use the Licensor's trademarks, service marks, or trade names.
3 License Restrictions
You may NOT, and you may not permit others to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
- Modify, adapt, translate, or create derivative works based on the Software
- Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software
- Share, distribute, publish, or sublicense your license key or activation credentials
- Circumvent, disable, or otherwise interfere with security-related features, license validation, or hardware binding mechanisms
- Use the Software to sign malicious code, malware, spyware, adware, or any software designed to harm computer systems or deceive users
- Use the Free edition for commercial software distribution or production code signing
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Software
- Use the Software in any manner that violates applicable local, state, national, or international laws or regulations
4 Intellectual Property Ownership
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold.
4.1 Third-Party Components
The Software incorporates third-party open-source components, each subject to its own license terms:
- cryptography — Apache License 2.0 / BSD License
- tkinterdnd2 — MIT License
- Various Python standard library modules — Python Software Foundation License
Your use of these third-party components is subject to their respective license terms, which are included in the Software distribution.
4.2 User Content
You retain all rights to the certificates you generate and the files you sign using the Software. The Licensor claims no ownership or rights to your user content.
5 Updates & Maintenance
5.1 Free Edition
Updates are provided on a best-effort basis. The Licensor may release updates at its sole discretion but is under no obligation to do so.
5.2 Pro & Team Editions
- Lifetime updates within the purchased major version (e.g., v3.x)
- Major version upgrades (e.g., v3.x → v4.x) may require an upgrade fee
- Security patches and critical bug fixes are prioritized
- Feature updates are released based on user feedback and development roadmap
5.3 No Obligation to Support
Except as explicitly stated for Pro and Team editions, the Licensor has no obligation to provide support, maintenance, updates, or new versions of the Software.
6 No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability and fitness for a particular purpose
- Warranties of non-infringement of third-party rights
- Warranties that the Software will be error-free, uninterrupted, or secure
- Warranties that the Software will be compatible with all systems or environments
- Warranties that signed executables will be accepted by operating systems, antivirus software, or distribution platforms
- Warranties regarding the accuracy or reliability of any results obtained from the use of the Software
You assume full responsibility for the selection and use of the Software and for the results obtained therefrom.
7 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.1 Aggregate Liability Cap
In no event shall the Licensor's total aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) exceed the amount paid by you for the Software license, or twenty-nine US dollars ($29.00) for Pro edition, or fifty-nine US dollars ($59.00) for Team edition, whichever is applicable.
7.2 User Responsibility
You acknowledge and agree that:
- You are solely responsible for ensuring compliance with all applicable laws and regulations when using the Software
- You are solely responsible for the consequences of signing and distributing executables
- The Licensor is not responsible for SmartScreen warnings, antivirus detections, or platform rejections of signed binaries
- You must obtain appropriate CA-issued certificates for public software distribution
8 Indemnification
You agree to indemnify, defend, and hold harmless the Licensor, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the Software
- Your violation of this EULA
- Your violation of any rights of any third party
- Your signing and distribution of executables that infringe third-party rights or violate applicable laws
- Any malware, malicious code, or deceptive software signed using the Software
9 Termination
9.1 Termination by You
You may terminate this EULA at any time by uninstalling the Software and destroying all copies of the Software and license keys in your possession.
9.2 Termination by Licensor
This EULA will automatically terminate if you fail to comply with any term or condition of this EULA. Upon termination, you must:
- Immediately cease all use of the Software
- Uninstall the Software from all systems
- Destroy all copies of the Software, license keys, and related materials
9.3 Effect of Termination
Upon termination of this EULA, all licenses granted to you will immediately cease. The following sections shall survive termination: Intellectual Property Ownership, No Warranty, Limitation of Liability, Indemnification, and Governing Law.
9.4 Refund Policy
Refunds are subject to our Refund Policy. License revocation due to EULA violations does not entitle you to a refund.
10 Export Compliance
The Software may be subject to export control laws and regulations. You agree to comply with all applicable international and national laws that apply to the Software, including but not limited to:
- U.S. Export Administration Regulations
- International Traffic in Arms Regulations (if applicable)
- End-user, end-use, and destination restrictions
You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
11 Governing Law & Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which TechRuzz is registered, without regard to its conflict of law principles.
Any legal action or proceeding arising under this EULA will be brought exclusively in the courts of that jurisdiction, and you consent to the personal jurisdiction and venue therein.
11.1 Dispute Resolution
Before initiating any legal proceedings, you agree to first contact the Licensor at support@codesigningtoolkit.com to attempt to resolve any dispute informally. If informal resolution is not possible, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable jurisdiction.
12 Entire Agreement
This EULA constitutes the entire agreement between you and the Licensor concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this EULA.
12.1 Severability
If any provision of this EULA is held to be void, invalid, unenforceable, or illegal, the other provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the least extent necessary to make it valid and enforceable.
12.2 Waiver
The failure of the Licensor to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision unless acknowledged and agreed to by the Licensor in writing.
12.3 Modifications
The Licensor reserves the right to modify this EULA at any time. Modified versions will be posted on the official website. Your continued use of the Software following the posting of modifications constitutes acceptance of the modified EULA.
